## How these documents work together

The Explanation forms part of this license for interpreting these License Terms. Read both documents together. The Explanation explains the meaning, scope and purpose of the corresponding provisions and helps resolve ambiguity in their application.

If a specific License Term and an explanation cannot reasonably be read consistently, the specific License Term takes precedence to the extent of the conflict.

The Explanation does not independently create permissions or obligations unrelated to interpreting the corresponding provisions.

## HoldMySpot License Explanation · Version 1.0

This Explanation accompanies the **HoldMySpot Source-Available License, Version 1.0**. It forms part of that license for the limited interpretive purpose described under “How these documents work together.”

The Explanation consists of this introduction and the section-by-section explanations accompanying Sections 1 through 9 of the License Terms. Each provides a plain-language explanation of its corresponding section. The Explanation is not a standalone license or a substitute for reading the License Terms. Capitalized terms have the meanings given there.

## 1. Permissions

### License Terms

Subject to this license, the Licensor grants you worldwide, nonexclusive permission to use, copy and modify the Software. Nonexclusive means the Licensor may grant the same permissions to others. Distribution is permitted only under Section 4.

The Licensor also grants permission under patent claims it controls that would necessarily be infringed by exercising the permissions in this section in the Software as supplied. This patent grant excludes infringement arising only from your modifications or combinations with other materials.

By exercising any permission granted under this license, you accept its terms. Anyone accepting for an organization must have authority to do so.

Commercial use is permitted at any organization size. Commercial activity, employment or organization size alone does not require payment or disqualify you from a free plan. Applicable Usage Terms still apply.

Your work is not covered by this license merely because you used the Software to create it. This license continues to govern any covered Software incorporated into that work.

### Explanation

You may use and adapt the Software for personal and commercial work. Working for a company—even a large company—does not by itself require payment. Usage requirements may still require a paid plan or additional allowance.

You may keep internal modifications private. The license does not require you to publish or contribute them.

Using the Software to create something does not bring that creation under this license. Copying covered Software into your creation is different: the copied portions remain covered.

The patent permission is limited to the scope stated in the License Terms; it is not a promise that every modification or combination is free of patent restrictions.

## 2. Replacement products and services

### License Terms

Except as permitted by Section 4 or separately authorized in writing by the Licensor, you may not:

- Distribute the Software, or a modified or repackaged version, as a standalone replacement or material substitute for the Software.
- Use the Software to create and provide others with a derivative product whose principal purpose is to supply the Software’s functionality.
- Provide a hosted or managed service giving third parties access to a substantial set of the Software’s features or functionality.

These restrictions apply to free and paid offerings, regardless of name, interface or platform. When applying these restrictions, compare the offering with the Software version you use—not with products or functionality the Licensor introduces later.

Use by employees and contractors solely on your behalf is internal use. Using the Software to produce consulting or development deliverables is permitted. Providing customers access to the Software’s functionality remains subject to this section.

Complementary plugins and integrations are permitted subject to these restrictions.

### Explanation

The distinction is between **using the Software to do your work** and **supplying its functionality to others as a replacement product or service**.

Maintaining your own internal fork is different from distributing that fork as a substitute for the official product. Similarly, using the Software to produce customer deliverables is different from selling customers hosted access to the Software.

A complementary integration may work with the Software without replacing it. Renaming a replacement product, calling it a plugin, changing its interface or offering it free does not avoid the restrictions.

## 3. Usage requirements and enforcement

### License Terms

Usage Terms may establish allowances, speed or capacity limits, feature eligibility, account and authentication requirements, and required metrics collection or reporting.

The Licensor must disclose each requirement before it applies. For required metrics collection or reporting, the disclosure must identify the data involved and the purposes of collecting or reporting it.

Changes may not retroactively create violations or charges. Changes affecting a period you have already paid for must follow the terms agreed for that period.

You must comply with applicable Usage Terms, including when using modified, self-built or integrated versions, or when enforcement is absent or defective.

An **Enforcement Control** is a mechanism in the Software or a connected service intentionally used to enforce, verify, measure or report compliance with a requirement in the Usage Terms.

Without the Licensor’s authorization, you may not intentionally defeat, disable, evade or impair an Enforcement Control to avoid an applicable requirement. You may not knowingly provide patches, instructions or services intended to enable that prohibited evasion.

Modifications that preserve compliance and the effective operation of applicable Enforcement Controls are permitted. Reaching a limit or experiencing a technical or reporting failure is not, by itself, a license violation.

This license does not authorize automatic purchases or top-ups. When paid access ends, you may continue using the Software only as allowed by your remaining permissions and applicable Usage Terms.

Nothing in this section waives privacy rights or supplies a legal basis or consent that applicable law separately requires for data processing.

### Explanation

The Licensor must disclose the requirements that apply to your use. You must respect them even when using your own build or when a technical check does not work.

The bypass restriction concerns intentional evasion, not ordinary customization or an accidental failure. For example, disabling a usage counter or falsifying reports to avoid an allowance is different from improving performance while preserving the required controls.

Reaching a quota or experiencing a reporting outage does not itself violate the license, but it does not grant additional usage rights.

Required reporting remains subject to privacy law. Reporting that is identified as optional does not become mandatory merely because the Software supports it.

## 4. Distribution

### License Terms

You may distribute:

- Copies to employees and contractors acting on your behalf, for use that complies with this license.
- Your own complementary plugins and integrations, including covered portions reasonably necessary for them, subject to Sections 2 and 3.
- Unchanged official releases as mirrors, preserving the releases’ contents, notices, included Usage Terms, and supplied signatures or integrity information.

A mirror must identify the Licensor and mirror operator without implying endorsement or additional usage rights. Permission to mirror release files does not authorize running the Software as a hosted service or distributing modified releases.

Every permitted distribution must include these License Terms and the Explanation, and retain applicable copyright, licensing and attribution notices. Modified copies must be identified as modified and must not be presented as official releases.

Other external distribution requires the Licensor’s written permission.

You may not grant others licenses to the Licensor’s covered materials. Recipients receive their permissions directly from the Licensor under this license. You may license your own contributions separately, but those licenses cannot expand permissions for the Licensor’s materials.

### Explanation

The license permits specific kinds of sharing: copies for people working on your behalf, qualifying plugins and integrations, and mirrors of unchanged official releases.

A mirror distributes the official release files. It does not provide permission to operate the Software for customers or publish modified replacement builds.

Recipients obtain permission from the Licensor under the license. You cannot grant broader rights to the Licensor’s materials merely by putting your own license on the package.

## 5. Other licenses and legal rights

### License Terms

Nothing in this license restricts rights independently granted under another license. Those rights apply only to the materials and activities covered by that other license; they do not automatically extend to separately licensed materials.

Nothing in this license excludes or restricts rights, remedies or obligations that applicable law does not permit the parties to exclude or restrict.

This license grants no trademark rights beyond identification permitted by this license or applicable law. You may not imply the Licensor’s endorsement.

### Explanation

This license does not retract rights you receive independently under another license, whether that license is open-source, source-available or proprietary.

Those rights have their own scope. Permission to modify or redistribute one component does not automatically grant the same permission for every other component.

The license also preserves protections that applicable law does not allow the parties to waive. Identifying the Software’s origin does not authorize implying the Licensor’s endorsement.

## 6. Duration and termination

### License Terms

This license does not expire with time or automatically change to another license. Usage allowances and paid access remain subject to Section 3.

Publishing a new version of these License Terms or the Explanation does not change the license for a copy you already received. Separate written terms with the Licensor override this license only where those terms expressly say so.

Actions outside the permissions granted by this license are unauthorized.

If the Licensor gives you written notice of a violation, your permissions continue if, within 30 days after receiving notice, you:

- Stop the violation; and
- Take reasonable steps to correct its consequences.

Otherwise, the Licensor may terminate your permissions by written notice.

The 30-day period does not authorize continued violations or erase amounts properly owed or claims arising from earlier conduct.

After termination, you must stop activities requiring permissions under this license. Rights preserved by Section 5 remain unaffected.

### Explanation

The license has no automatic expiration or future conversion to another license. That does not mean a paid subscription or usage allowance lasts forever.

An updated license or Explanation does not silently replace the documents governing your existing copy.

Violations can end your permissions through the stated notice and correction process. The correction period is an opportunity to stop and address a violation, not permission to continue it.

## 7. Warranty and liability

### License Terms

To the extent permitted by applicable law, and unless the Licensor separately agrees in writing:

- The Software is provided as is, without warranties or conditions, including merchantability, fitness for a particular purpose and noninfringement.
- The Licensor is not liable for losses or damages arising from this license or the use or nature of the Software, regardless of the legal basis of the claim.

### Explanation

Unless the Licensor separately agrees or the law requires otherwise, the Software comes without guarantees, and the Licensor does not accept liability for resulting losses.

These limitations cannot remove protections that the law does not allow the parties to exclude.

## 8. Enforceability

### License Terms

If a term cannot legally be enforced, it is narrowed or removed only as far as the law permits and as necessary to resolve that problem. The remaining terms continue to apply as far as the law permits.

### Explanation

An unenforceable term should not invalidate the entire agreement. The term is narrowed or removed only as legally permitted and necessary, while the remaining terms continue to apply where the law allows.

## 9. Reusing the license documents

### License Terms

Anyone may copy, distribute and adapt these License Terms and the Explanation. Adapted versions must be identified as modified and must not imply endorsement by the original license author.

Completing the License Notice does not create a modified license. Permission to reuse these documents does not grant permission to use any software offered under them.

### Explanation

Other people and products may reuse or adapt the License Terms and this Explanation.

Filling in the License Notice is ordinary use of the license. Changing the documents requires identifying them as modified, without suggesting endorsement by the original author.

Reusing the license documents does not give you rights to someone else’s software.
